Question Contract Question - 21-06-2007, 11:38 PM

Small Agency Providing IT staff to a Large Organisation.

Hi from a Newbie - Hope you can help me with a question that I have.

As I understand it, A contract for supply of services (IT Related Contract) doesn't take effect in law until you have arrived on site on day one of the agreed start date?

That is my 1st question - Is the above statement correct ?

My next question is this.

If the Large Organisation issues a contract of terms for a fixed period (say 12 months, after which it is deemed to have lapsed) but continue to use said agency in the same capacity for several years after the initial contract has, according to the wording, lapsed. Is the continued use of the agency and staff an implied agreement to extend the period of the contract even though the paperwork had not been printed out and signed ?

Can't respond to your 1st question but wiht regards to the second the answer is that the original terms will be deemed to apply if neither side communicated anything to the contrary. Eg both of you continued to operate as though they were in place establishing an acceptance and cutome and practice.

But I am not a lawyer.

Your first statement can be incorrect, but not necessary entirely incorrect.

When a contract for services start depends on the terms of that contract. It can start from the immediate booking, from acceptance of that booking, etc. A contract for service that has a cancellation clause with provision for a cancellation fee to be paid can amount to a contract of service so the actual attendance of the end-users' premises is not conclusive.
