ltd company by guarantee lots of help needed! - 16-09-2007, 01:59 PM

Hi,

I own a car enthusiasts club (non-profit) wich runs a website & will be starting a small shop (sell items such as stickers etc). We have just become a ltd company (by guarentee).

The very first question I have is, when we registered the company, there was an option to use an address (In manchester) of the registering agent. This is where the "company" is registered to, do I put this address on invoices? If so how do they get sent to me (I run the shop from home, but did not wish my home address to be listed on companies house)

Secondly, I believe I have to register with HMR&C for taxation reasons? Now given this is a non-profit organization will I be taxed yearly on any profits from the shop, do I have to charge the customers (members) anything?

Also given that we are a car club (and have meets, and that I will be selling items in the shop) will I require any insurance? I guess liability insurance? If for some reason I was to be sued, is there any insurance against that?

And Lastly! what role does the secretary play in the company (and what do the need to submit to companies house)

Thanks for your time in reading this, I have searched the internet but have not come up with many answers,

Hi Paul

By law a company must have its registered office address on all business stationery including invoices. However you can do this by way of a footnote and have its main trading address, i.e. your home address, in prominent lettering at the top for people to address the mail to. Your registered office address, not your home address appears on the Companies House website, however if someone is willing to pay they can find out the director’s home address if they’re interested.

You will have to register the company with HMRC. They normally send out form CT41G within weeks of formation for this very purpose.

Have a look around the Companies House website. It will give you all the information that you need regarding the role of the company secretary.
