Contract Query -

Just received a new contract at work and came across a section that I'm a little concerned about. Can anyone shed some light as to exactly what the text below means in plain English?
Thanks! The Employee hereby irrevocably appoints the Company to be his attorney to execute and do any such instrument or thing and generally to use his name for the purpose of giving the Company or its nominee the benefit of this clause and acknowledges in favour of a third party that a certificate in writing signed by any Director or the Secretary of the Company that any instrument or act falls within the authority conferred by this clause shall be conclusive evidence that such is the case. |

The contract is being signed as a deed and normally is used where you will be creating for your employee some form of Intellectual property and it is to protect that aspect.
