Hi there,

Have recently been involved in a dispute between myself and my ex business partner and would welcome some guidance on how I should go about taking things further. I have put my issue in a sequence of events as it is easier to explain!

- started limited company with my (ex) business partner
- decided it was time to depart from the company to explore other oportunities.
- an email exchange then followed on how to formally allow my departure, a structure on how to repay the 12K I put into the company, shares etc.
- He kept delaying this, so I paid my lawyer to produce and agreement which covered our email and verbal agreement and issued to him - no response
- We lost contact, I learn from a creditor that he has removed himself as a Director leaving me sole director of the company, and its debts.
- A winding up order was made by a creditor and I have been left to deal with the insovency agent and creditors.
- My ex business partner, then started a competitor company, utilised the orginal companies funds, equipment, website design and carried projects over from the original company.
- He has all of the original companies assests (PC's, desks etc) however, the office equipment was leased to his father in an attempt to save the equipment from liquidation.

I would like to know what I can do to:

- Get my money back (that he has used to fund the competitor company)
- Take back the original companies assests/equipment
- Take legal action against him for signing himself out of the company without my knowledge... Doesn't this require a serving directors signature? does this mean he has forged my signature? Is this a criminal offence?

On your third point - taking legal action - It sounds to me that this would cost a lot more than the £12,000 you are seeking to recover. The Small Claims Court would not help either as it does not intervene in contractual disputes.

Hi,
Thanks for the reply.
What options do you think I have? Can I stop him using projects that where from the original company, through the original company? can I at least attempt to get the PC's back? anything?
