Kim 9000: If your 'legal and binding contract' is not a commercial transaction of some sort, such as the sale of goods then I assume you are referring to a deed or contract under seal. This is when two or more parties come together and agree to act (or refrain from acting) in a certain and well defined way to their common interest. If this is the case then forget looking for templates on the web and find a good lawyer to draw this up for you.
