Urgent problem - limited company/verbal agreements

Hi there, I wonder if someone could advise me. I was running my own online letting agency business and registered my company as a limited company. I have now ceased trading and dissolved the company. Three months before I dissolved the company I signed up to one of the big online property websites to advertise my property (not sure if I can say their name here) the only reason I signed up was because the representative on the phone said that they would give me a two month free trial (normally £140 per month) if I signed up to a six month contract. I did this, signed the contract and they didn't charge me for the first two months. It states in the contract that the only way the contract can be broken was if my company became wound up. I paid the third months' bill and asked them to cancel the contract as a result of my company being dissolved, which they happily agreed to do. My account with the company was closed. BUT I keep receiving requests for the payment of the first two months' of my account, and now they are threatening me with legal action. I have emailed them saying that they told me I could have the first two months' free, but they said they do not offer this to their customers! They wanted me to provide written proof of them stating I could have a two month free trial but I don't have anything on paper (nor in the contract) to support this - all I have is the conversation with their sales rep who told me I could have the trial and it was not recorded! What can I do about this? Can they take action against a dissolved limited company? Does the fact that they did not debit any money from my bank account until the middle of the third month support my case? Please please help, They are chasing me for a lot of money I don't have!

Be very careful. The other party is trying to get you personally to enter into a new contract and accept liability for the debt with your now dissolved company. It is not clear whether the original contract is with your dissolved Limited Company or your personally. This needs to be established

If you are certain that your dissolved Limited Company was the party to the contract then you have very little to fear, in fact nothing to fear when your company is now dissolved. If you have entered the contract in your name then the liability remains with you.

I suggest that you take up Jonathan's offer above. It is Free and it is in writing!

I would rather doubt a large company would waste time on chasing a small debt if they knew the company they supplied the service to no longer exists.
