Advice wanted with part ownership of a company. -

Dear all,
About a year ago I started working (contract) for a small company. Recently we took on a large project under this company name... and at the same time the owner formed a new company for future projects of the same type, making me a director of the company and giving me 15% of the company.
What I am confused about is the fact he recently came to me asking me to sign a confidentiality agreement for both companies. I can understand this need for the first company which I don't have any ownership in, but the second company which I own a part of? is this right?. Should I be asking him to sign one as well for the same company?
Also If I were to leave the first company so I was no longer contracted to them... What rights do I have to the second company which I own a part of?
As you can tell i'm pretty new to all this and I kinda have to trust this guy quite a lot. I hope it all makes sense and I really appreciate your help.
