Angry important need help !!!!!!!!! - 06-08-2008, 07:30 PM

We have just been told that our ltd company has been dissolved, a year ago.We had no knowledge of this.
We are at our wits end , what do we do now ?
The bank have been in touch today and they are looking into it .can a company be dissolved without the directors even knowing about it ?

I have no idea how to answer the "What do we do about it" part of your question but I would point out that a company would not be dissolved without several letters having been sent out to the registered office informing the company that their Annual Return and/or accounts were overdue so someone must have been aware.

I believe that legally all of the property and assets of the company now belong to the Crown and would suggest that if there is anything worth salvaging from the company that you obtain proper legal advice

Hi, angloanna. Ass the practice shows a company can't be dissolved just out of the blue. So, it's possible to find some info about it. As for your situation with this money loss think about starting investing in some reliable company with the first sum of investing being not big as well as the term of investing.

I don't think it can, no. Sounds to me like either the necessar paper-work has gone to the wrong address (have you moved or something?) or someone somewhere hasn't passed on the information (do you have a sloppy co-Director or Company Secretary or something?)

As to what to do about it - find out what went wrong first!

It might, of course, be simply easier to form a new company; if the old one's been dissolved a year ago you should be able to even get hold of the same name and so on if you're lucky.
